ARTICLE I --- NAME
The name of this Association shall be the Kansas Association
of the Deaf, Inc.

ARTICLE II --- PURPOSE
The purpose for which this association is formed are to
promote the physical, moral, social and educational, welfare
of the deaf persons of Kansas, to establish a home for
the blind, aged and infirm deaf people of Kansas, to purchase
and hold and sell real estate in order to carry out the
purposes of this association, to receive gifts and bequests
and apply the same to the purposes of this association.
This Association is organized exclusively for charitable
and educational purposes, including, for such purposes,
the making of distributions to organizations that qualify
as exempt organizations under section 501 (c) (3) of the
Internal Revenue Code, or corresponding section of any
future federal tax code.

ARTICLE III
The place- where its business is to be transacted is at
Olathe, Kansas.

ARTICLE IV--- PERPETUAL EXISTENCE
The duration of the organization is lifetime of the corporation,
or until its dissolution.

ARTICLE V --- OFFICERS
The number of directors of this corporation shall be five
and the names and residences of those who are appointed
for the first year are: J.J. Dold, Olathe; Iona A. Tade,
Protection; Edward S. Paxton, Newton; Emmette W. Simpson,
South Canton; and William E. Wait, Sawyer.

ARTICLE VI
The estimated value of the goods, chattels, lands, rights
and credits owned by the corporation is No Dollars. The
amount of the capital stock of this corporation shall
be No Dollars, and shall be divided into no shares, of
No Dollars each.

ARTICLE VII
The names and residences of the stockholders of said corporation,
and the number of shares held by each, are as follows,
to wit: None.

ARTICLE VIII --- LIMITATION
No part of the net earnings of the organization shall
inure the benefits of, or be distributable to its members,
trustees, officers, or other private persons, except that
the organization shall be authorized and empowered to
pay reasonable compensation for service rendered to make
payments and distributions in furtherance of the purposes
set forth above. No substantial part of the activities
or the organization shall be the carrying on of propaganda,
or otherwise attempting to influence legislation, and
the organization shall not participate in, or intervene
(including the publishing or distribution of statements),
any political campaign on behalf of or in opposition to
any candidate for public office. Notwithstanding of any
other provision of these articles, the organization shall
not carry on any other activities not permitted to be
carried on (a) by any organization exempt from federal
income tax under section 501 (c) (3) of the Internal Revenue
Code or corresponding section of any future federal tax
code or, (b) by an organization, contributions to which
are deductible under section 170 (c) (2) of the Internal
Revenue Code, or corresponding section of any future federal
tax code.

ARTICLE IX --- DISSOLUTION
Upon the dissolution of the organization, assets shall
be distributed for one or more exempt purposes with the
meeting of section 501 (c) (3) of the Internal Revenue
Code, or corresponding section of any future federal tax
code, or shall be distributed to the federal government,
or to state or local government, for a public purpose.
Any such assets not so disposed of shall be disposed of
by the Court of Common Pleas of the county in which the
principal office of the organization is then located,
exclusively, for such purpose or such organizations as
said Court shall determine, which are organizational and
operated exclusively for such purposes.
The primary considerations shall be provided for the following
501 (c) (3) organization if it continues in existence:
Kansas Educational Foundation for the Deaf and Hard of
Hearing, and/or the state government for purpose of maintaining
Kansas State School for the Deaf, if it is in existence
at the time of dissolution of this organization.

The registered office of this corporation is 1135 North
Walker Lane, Olathe, Kansas 66061 and the registered agent
of this address is Julie Theel in the county of Johnson.
